Terms of Service

1. Acceptance of Terms

By accessing or using the website and digital services provided by Tapestry Digital Services, LLC ("Tapestry"), you agree to be bound by these Terms of Service. If you disagree with any part of the terms then you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Services & Delivery

Tapestry provides web design, landing page architecture, digital branding, local SEO, lead generation, and ongoing site care services. Project timelines, deliverables, and exact specifications will be mutually agreed upon in writing or via digital invoice prior to commencement of work. The client agrees to provide necessary feedback, assets, and communication in a timely manner. Delays in client feedback may result in extended delivery timelines that are not subject to penalty on behalf of Tapestry.

3. Payment Terms & Subscriptions

Initial project builds require upfront payment or a formalized deposit structure before development begins. Monthly services (including but not limited to Site Care, Local SEO, and Lead Generation) are billed on a recurring monthly subscription basis. Invoices are due upon receipt. Failure to remit payment for monthly services within 15 days of the due date may result in the suspension or termination of active services, hosting capabilities, or SEO campaigns until the account is brought current.

4. Cancellation & Termination

We operate on a transparent, month-to-month basis for ongoing services. You may cancel your monthly Site Care or Marketing services at any time by providing written notice to Tapestry at least 15 days prior to your next billing cycle. Upon cancellation of services, Tapestry will cooperate in transferring domain ownership and providing necessary access credentials to the client, provided all outstanding invoices have been paid in full.

5. Governing Law & Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the State of Tennessee, United States, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the federal or state courts located in Knox County, Knoxville, Tennessee. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

1. Intellectual Property Rights

All content, visual interfaces, interactive features, information, graphics, design, compilation, computer code, products, software, services, and all other elements of the Tapestry Digital Services, LLC ("Tapestry") website and delivered projects are protected by United States copyright, trade dress, patent, and trademark laws, international conventions, and all other relevant intellectual property and proprietary rights, and applicable laws. Unless explicitly stated in a formalized work agreement, Tapestry retains the licensing rights to the proprietary frameworks, source code, and modular architectures used in the deployment of our digital products.

2. Limitation of Liability

In no event shall Tapestry Digital Services, LLC, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

3. Disclaimer of Warranties

Your use of our Services is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance. Tapestry does not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your specific business requirements or generate guaranteed revenue.

4. Indemnification

You agree to defend, indemnify and hold harmless Tapestry Digital Services, LLC and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password, or b) a breach of these Terms.

1. Information Collection

We collect several different types of information for various purposes to provide and improve our Service to you. While using our Service, we may ask you to provide us with certain personally identifiable information that can be used to contact or identify you ("Personal Data"). 3. Tracking & Cookies Data

We use cookies and similar tracking technologies to track the activity on our Service and hold certain information. Cookies are files with small amount of data which may include an anonymous unique identifier. Cookies are sent to your browser from a website and stored on your device. Tracking technologies also used are beacons, tags, and scripts to collect and track information and to improve and analyze our Service.
